The following contains the complete terms and conditions that apply to your participation as an Affiliate of Health Solutions Network, LLC. (HSNLLC)

1. Transaction Flow and site Linkage

Affiliate will be responsible for providing all information and documentation required to enable Affiliate to make appropriate connections between Affiliate’s site and Health Solutions Network’s site(s). HSNLLC will process orders placed by customers who follow the Links from Affiliate’s site to HSNLLC’s sites. HSNLLC is solely responsible for all aspects of order processing and fulfillment. This includes order entry, payment processing, shipping, related customer service, cancellations and returns. HSNLLC will track and make available to the Affiliate, reports on the volume and amount of sales generated by the Affiliate’s site. These reports will summarize all available sales activity. A HSNLLC’s discretion, the content, and frequency of the reports may vary. HSNLLC’s ability to report accurately will be limited unless the Affiliate ensures that the Links are properly formatted.

2. Transaction Tracking

Report of sales activity will be provided to the Affiliate in real time with a secure URL and password that the Affiliate is assigned. The Affiliate is entitled to add and remove as many links at anytime and without approval from HSNLLC. The Affiliate is solely responsible for ensuring that all links are properly formatted.

3. Product Availability and Affiliate Pricing

Availability and Pricing may vary from time to time at HSNLLC’s sole discretion. Affiliate must charge at least the minimum price set by HSNLLC. In case of any price discrepancies, whereby the Affiliate has listed the price below the minimum price, the price charged to the customer will always be the minimum price set by HSNLLC. HSNLLC cannot guarantee the availability or price of any Product.

4. Products – Uncontrolled Substances Only!

Products offered for sale on HSNLLC's marketing websites are considered “Current Products”. HSNLLC hereby reserves the right to add or delete any products at any time at HSNLLC’s sole discretion.

5. Commissions

HSNLLC will pay Affiliate commissions on Current Product sales. Only Current Products that are sold by and for which HSNLLC has received full payment will qualify for a commission. A commission will only be paid if the visitor to HSNLLC’s site is tracked by the system from the time of the Link to the time of the sale. No commission will be paid if the visitor to HSNLLC’s site cannot be tracked. HSNLLC will send a commission check for the applicable commissions on weekly basis for the activity from the previous week. If a commission qualifying product is later returned by the customer, its commission and all fee associated with the transaction will be deducted from the next payment to the Affiliate. All commissions pending after a 90 day period will be forfeited to HSNLLC.

6. Standard Policies

HSNLLC policy applies to all orders: Every customer who buys a product through this program is deemed to be a customer of HSNLLC. The Affiliate does not have the authority to make or accept any offer on behalf of HSNLLC. All HSNLLC policies regarding customer orders, product availability, pricing and problem resolution, will apply to all customers. HSNLLC is not responsible for any representations made by Affiliate that are in any way contradictory to HSNLLC policies.

7. Zero Tolerance Spam Policy

HSNLLC requires a Zero Tolerance Spam Policy. Legal action will be taken against any Affiliate which violates this policy.

Affiliate may NOT promote by means of Spam. For the purposes of this agreement “Spam” is defined as one or more commercial or noncommercial unsolicited electronic messages. This does not include targeted mailing lists if each and every name on the list has given explicit permission to send electronic messages. The burden of this proof will be on you. In any legitimate spam complaint, following the initial fact gathering your guilt will be assumed until proof of innocence is provided.

If an Affiliate’s account is canceled for Spam, the Affiliate’s license to promote HSNLLC will be revoked indefinitely, all commissions due the Affiliate will be forfeited and HSNLLC will take legal action against the Affiliate.

8. Copyrighted and Trademarked Material

Affiliate is solely responsible for ensuring that all applicable copyright, trademark, and other laws are being complied with and followed. This includes all product descriptions and articles appearing on Affiliate’s web site. HSNLLC will not be responsible any violation(s) of the law in connection with another party's copyrighted or trademarked material.

9. Term of this Agreement

The term of this Agreement will begin upon HSNLLC's acceptance of Affiliate's Application and will end when terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notification of termination. Should this Agreement be terminated due to violated terms of this Agreement by the Affiliate all remaining commissions will be forfeited. If this Agreement is terminated for any other reason, Affiliate is only eligible to earn commissions on sales occurring during the term of the Agreement, and commissions earned through the date of termination will remain payable only if the related orders are not canceled or returned. HSNLLC will withhold the final payment for at minimum 90 days to ensure that the account is properly accounted for before final payment is made.

10. Relationship of Parties

The nature of the relationship of the Affiliate to HSNLLC is that of an independent contractor(s). This Agreement will not create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the Affiliate and HSNLLC. The Affiliate will have no authority to make or accept any offers or make or accept representations on behalf of HSNLLC. In addition, the Affiliate will not make any statement or representation that will contradict anything in this Section.

11. Right to Modify Agreement

HSNLLC reserves the right to modify any of the terms and conditions contained in this Agreement, at any time at its sole discretion. The affiliate will be made aware of the changes well in advance of implementation.

12. Limitation of Liability

HSNLLC will not be liable for indirect, incidental, special, or consequential punitive or multiple damages. This includes without limitation any damages resulting from a loss of business, loss of revenue, loss of profits, loss of use or loss of data, arising in connection with this Agreement or HSNLLC's performance of services or of any other obligations relating to the Agreement. Additionally, HSNLLC’s aggregate liability arising with respect to this Agreement will not exceed the total remaining commissions payable to Affiliate under this Agreement. The foregoing limitation of liability shall apply regardless of the cause of action under which such damages are sought.

13. Disclaimers

HSNLLC hereby make no express or implied warranties or representations with respect to the Product or other items sold through HSNLLC (including, without limitation, warranties of fitness for a particular purpose, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage).

14. Disruption of Service

HSNLLC hereby makes no representation that the operation of its site will be uninterrupted or error-free. HSNLLC will not be liable for the consequences of any interruptions or errors.

15. Indemnification

Affiliate hereby agrees to indemnify, defend and hold harmless HSNLLC, its shareholders, officers, directors, employees, agents, affiliates, successors and assigns, from and against any and all claims, demands, losses, liabilities, damages or expenses of any nature whatsoever incurred or suffered which arise out of, are related to, or are based on, or any claim related to your site.

16. Representations and Warranties

Affiliate does hereby represent and warrant to HSNLLC that this Agreement has been duly and validly executed and delivered by Affiliate to HSNLLC and that by executing and delivering this Agreement constitutes Affiliates legal, valid and binding obligation, which is enforceable against Affiliate in accordance with the Agreement’s terms and that the execution, delivery and performance by Affiliate of this Agreement are within your legal capacity and power have been duly authorized by all requisite action on your part require the approval or consent of no other persons and neither violate nor constitute a default under the (i) provision of any law, rule, regulation, order, judgment or decree to which you are subject or which is binding upon you, or (ii) the terms of any other agreement, document or instrument applicable to you or binding upon you or Affiliate.

Subscription Services

17. Premier Service

Health Solutions Network provides an additional level of service consisting of a wide array of features found in the “Premier Services” section of our website. Those affiliates who choose to upgrade to those services will be charged a onetime fee of $49.95 which will give you access to our upgraded tools. Billing information will need to be provided by the affiliate upon sign up, but will not be charged until your application is approved through our affiliate department. WE DO NOT ISSUE REFUNDS OR GIVE CREDITS for any affiliate wishing to cancel their access to our their premier account. Any and all inquiries should be directed to our affiliate department which can be reached Monday through Friday 8:00 AM to 5:00 PM, Pacific Time, by calling 206-973-4174.

18. Fees and Cancelations

Your subscription to Health Solutions Network marketing services can be done during regular business hours, Monday through Friday 8:00 AM to 5:00 PM, Pacific Time, by calling 206-973-4174. WE DO NOT ISSUE REFUNDS OR GIVE CREDITS FOR ANY SUBSCRIPTION PERIODS. Health Solutions Network reserves the right to terminate or suspend your account at our sole discretion.

19. Disabling of Accounts

If a credit card is deemed invalid or a payment method has become expired at the end of a billing cycle and a payment attempt has failed, the account will be held as inactive and access to your Health Solution Network along with any and all tools provided with our marketing services will be disabled and discontinued. If an affiliate chooses to return to the program and continue their membership with Health Solutions Network they can do so by contacting their affiliate account representative to provide them with a valid form of payment.

20. Charge Backs

All affiliates participating in our monthly subscription based marketing services must have agreed to the Terms of Use. The Terms of Use are a binding, ongoing contract between you and Health Solutions Network. A Charge Back is considered a breach of the contract. Access to the Health Solutions Network service will be immediately suspended. Health Solutions Network reserves the right to pursue the subscriber civilly and/or criminally for any breach in the contract. In addition, by accepting the Terms of Use, you agree that the laws of the State of Washington shall have exclusive jurisdiction over any dispute or claims, policies, and procedures between you and Health Solutions Network relating to all aspects of Health Solutions Networks services, website(s) and or these Terms. The subscriber expressly and irrevocably consents to personal jurisdiction and venue in these courts. Parties will be responsible for each of their respective attorney's fees and court costs.
